$250 million Private Home Service Company


AFS was retained by a private home services company to assist in implementing an aggressive acquisition strategy.   This client’s goal was to become one of the largest in their industry through a rapid acquisition strategy and raise funds through an Initial Public Offering. 

AFS was engaged to provide general and full scale pre-acquisition services. AFS sent teams of professionals to locations throughout the United States to assess the target companies. The teams were challenged with performing due diligence on small, unsophisticated companies with revenues ranging from $2 to $12 million. The companies required in-depth analysis and often required a “cleaning up” of the books and assistance with implementing a stronger internal control structure.

Although these companies were small, there were a number of accounting issues that arose including FIN 46, “carve-out” accounting, inventory valuation and capital lease issues. AFS’ experienced teams provided timely and successful due diligence and audit preparation services while working closely with two public accounting firms in order to resolve technical issues.
