AFS was engaged by a private company that was expanding nationally and internationally through acquisitions. When AFS was retained, the accounting for the purchase transactions had not been completed. The client did not have an integration strategy for the purchased entities and continued with subsequent purchase transactions. Each school operated independently from an accounting and operational perspective.

AFS was engaged to perform full scale “post acquisition” services. These services included compiling purchase documentation, assessing final purchase price, tracking the exchange of funds, analyzing agreements and determining accounting implications, preparing purchase accounting and developing opening balance sheets, while integrating the new entity into the parent company. Additionally, AFS documented the audit trail and created work papers to provide the client with materials for future reference. As a result of the success of the initial projects, AFS was asked to perform a large scale due diligence project for five entities. This client appreciated our hands-on approach and recognized the value that AFS brought through its talented and experienced resources.
